Design Service Agreement

The client must pay a minimum of 50% advance payment before any work begins.
The remaining payment must be completed after the project is finished and before any final files, products, source files, or deliverables are sent to the client.
No watermark-free previews, source files, editable files, or final deliverables will be provided until full payment has been received.
The designer reserves the right to pause or stop the project if payment terms are violated.

§ 3 · Deliverables

Scope of Work

Only the services specifically written in this agreement are included in the project.
Any additional requests, edits, redesigns, concepts, modifications, or extra services outside the written agreement are NOT included.
Any additional work requested by the client may require extra payment and/or a completely new contract.
The designer is not obligated to provide any service that is not clearly listed in this agreement.

§ 4 · Changes

Revisions & Changes

Included Revision Count
Additional revisions or major changes requested after approval may require additional charges.
Once a concept, design, preview, or stage has been approved by the client, reversing or redesigning that approved stage may require extra payment.

§ 5 · Obligations

Client Responsibilities

The client agrees to provide all necessary information, files, logos, references, approvals, and feedback required for the project.
Delays caused by missing information, delayed approvals, or lack of communication from the client may extend the project timeline.
The designer is not responsible for delays caused by the client’s failure to respond or provide required materials.

§ 6 · Termination

Cancellation & Refund Policy

If the client cancels after work has started, the advance payment (50% or more) is STRICTLY NON-REFUNDABLE.
In case of cancellation, no concepts, previews, designs, source files, editable files, or completed work will be delivered to the client.
Any time already spent on the project is considered billable work regardless of cancellation.
Advance payment of 50% or more is non-refundable once any work has commenced

§ 7 · Protection

Preview & Watermark Policy

Preview images or sample files may contain watermarks, reduced quality, or protective overlays until full payment is completed.
The client may not use, publish, screenshot, reproduce, edit, sell, share, distribute, or claim ownership of unfinished or unpaid work.

§ 8 · Intellectual Property

Ownership & Copyright

Full ownership rights transfer to the client ONLY after full payment has been completed.
Until full payment is received, all work remains the legal property and copyright of the designer.
Unauthorized use, reproduction, resale, modification, distribution, or commercial usage of unpaid work is strictly prohibited.
Unless otherwise agreed in writing, the designer has the right to display completed work in portfolios, websites, advertisements, and social media for promotional purposes.

§ 9 · Privacy

Client Privacy & Confidentiality

The designer agrees to keep all client information, files, concepts, business materials, personal details, and project content confidential and secure.
The designer will not sell, share, leak, distribute, or provide the client’s personal information, private files, or unreleased designs to any third party without the client’s permission.
Any confidential business information provided by the client will only be used for the purpose of completing the agreed project.
The designer will take reasonable measures to protect the client’s files and project materials from unauthorized access.
The designer has the right to display completed and paid projects in portfolios, websites, and social media for promotional purposes unless the client requests written confidentiality before or during the project.
Client requests full project confidentiality — project will not be publicly displayed

§ 10 · Financial Protection

Payment Disputes & Chargebacks

The client agrees not to initiate chargebacks, unauthorized payment disputes, false refund claims, or payment reversals after work has started or previews/files have been delivered.
Any fraudulent payment dispute may be used as evidence in legal proceedings.
Chargebacks filed after work delivery constitute fraud and will be contested legally

§ 11 · Records

Communication & Legal Records

All messages, chats, emails, invoices, previews, approvals, and communications between both parties may be used as proof of agreement.
Screenshots, payment receipts, signed contracts, and written approvals may serve as legal evidence if required.

§ 12 · Conduct

Professional Conduct

The designer reserves the right to pause, reject, or cancel the project in cases of abuse, threats, illegal requests, disrespectful behavior, harassment, or violation of this agreement.
Professional and respectful conduct is expected from both parties throughout the entire project duration.

§ 13 · Additional Terms

Extra Notes

Additional notes agreed by both parties
Any project-specific terms agreed upon by both parties will be written here and are considered legally binding as part of this agreement.

§ 14 · Binding Agreement

Final Agreement

By signing below, both parties confirm that they fully understand and agree to all terms and conditions written in this agreement.
This agreement is legally binding upon signature by both the client and the designer.
